These Terms & Conditions govern the use of all services provided by Green Circle ("Green Circle", "we", "us", "our"). By using any Green Circle service, you agree to these Terms.

1. Introduction

These Terms apply to all users, customers, subscribers, and partners who access or use the services offered by Green Circle, including climate programs, sustainability certifications, digital assets, and related support services (collectively "Services"). By subscribing to or using any Green Circle service, you enter a legally binding agreement with Green Circle.

2. Service description

Green Circle provides access to certified climate projects, sustainability programs, and digital communication assets designed to support companies in demonstrating and communicating credible climate responsibility. Services include:

• Carbon Neutral Employees program
• Carbon Neutral Transport program
• Carbon Neutral Website program
• Certificate of Carbon Neutrality
• Digital logos, badges, banners, and social media assets
• Annual check-in and renewal support

3. Membership and subscription

Green Circle programs operate on an annual subscription basis. By subscribing, you agree that:

• Subscriptions renew annually unless cancelled at least 90 days before the renewal date
• You authorise Green Circle to issue an annual invoice for all recurring fees
• Pricing may be reviewed at renewal — you will be notified in advance of any changes
• Failure to pay by the due date may result in suspension of your certificate and assets

4. Use of certificates and assets

Upon payment, Green Circle grants you a non-exclusive, non-transferable licence to use the certificate, logos, badges, banners, and social media images provided as part of your program. This licence is valid for the duration of your active subscription.

You agree to:

• Use assets only in connection with your Green Circle program and within the scope defined in our communication guidelines
• Not modify, alter, or misrepresent the certificate or badges
• Not use assets beyond the subscription period without renewal
• Not make claims that go beyond what your program covers — for example, claiming "net-zero" or "EU certified"

Green Circle retains all intellectual property rights in the certificate design, logos, badges, and all associated brand assets.

5. Honest communication

Green Circle programs certify participation in certified global sustainability initiatives — not full lifecycle carbon neutrality. You agree to communicate your status accurately and within the approved language guidelines provided by Green Circle.

Approved language includes phrases such as "carbon neutral through participation in certified global sustainability initiatives" and "powered by Green Circle." You agree not to use language that overclaims your status, including but not limited to: "carbon-free", "net-zero guaranteed", "EU certified", or "zero emissions."

6. Payment

All fees are invoiced annually in advance. Payment is due within the timeframe specified on the invoice. Green Circle invoices without VAT as services are exported from our internationally registered company. All prices are quoted in EUR unless otherwise agreed.

7. Limitation of liability

To the fullest extent permitted by law, Green Circle's total liability to you in connection with any claim arising from your use of our services shall not exceed the total fees paid by you in the 12 months preceding the claim. Green Circle is not liable for indirect, incidental, or consequential damages of any kind.

8. Termination

Green Circle reserves the right to terminate or suspend your subscription and revoke access to certificates and assets if you:

• Breach these Terms
• Fail to make payment by the due date
• Use the Green Circle brand in a manner that misrepresents the scope of your program
• Cause reputational harm to Green Circle through inaccurate or misleading climate claims

Upon termination, you must immediately cease using the certificate, logos, badges, and all associated assets.

9. Governing law

These Terms are governed by the laws of the State of Delaware, United States. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware, USA.

10. Changes to these Terms

Green Circle may update these Terms from time to time. Continued use of our services after any changes constitutes your acceptance of the updated Terms. We will notify active subscribers of material changes by email prior to the changes taking effect.
